The Company facilitates investments in financial instruments in the following ways:

1. Intermediary Services: Acting s an intermediary between financial institutions and users.
2. Direct Investment: Enabling users to invest directly in financial instruments offered by the Company.

• The use of terms such as “We,” “Our,” or “Us” refers to Sunrise Gilts & Securities Pvt. Ltd. along with its affiliates, representatives, employees, and agents, and collectively includes this Platform and any services offered therein. These terms indicate the Company’s involvement in the operation, administration, and provision of the Platform's Services
• The use of terms such as “You,” “Your,” “User,” or “Visitor” refers to any person or entity accessing, browsing, or using this Platform. This includes both registered Users and those who simply browse or interact with the content offered on the Platform.
• "Comments" refers to all forms of user-generated content submitted to the Platform, including feedback, reviews, suggestions, ideas, inquiries, and other forms of communication. • The information presented regarding bonds, securities, and financial instruments on this Platform is provided in good faith and to the best of our knowledge.However, the Company does not guarantee the accuracy, completeness, or reliability of any data or information available on the Platform. If any User identifies discrepancies or inconsistencies in the information presented, they are encouraged to contact the Company for clarification or correction.

• It is important to note that all bond offers, including the indicative rates shown, are for informational purposes only and are not legally binding. These rates or offers may fluctuate depending on market conditions and the availability of instruments. Orders placed by Users will be subject to confirmation based on current market prices and availability at the time of the transaction. The rates reflected on the Platform may change as market conditions evolve.  
• While the Company strives for the accuracy of the information provided, there may be typographical errors, inaccuracies, or omissions on the Platform. The Company does not warrant uninterrupted access to the Platform, nor does it guarantee that any content, information, or feature on the Platform will be free from errors or defects. The Company disclaims any responsibility for errors that may arise and urges Users to verify any information before relying on it for making investment decisions.

• In order to fully access and use the Services offered on the Platform, Users must complete the registration process by providing necessary personal and professional information. Users must ensure that all information submitted during the registration process is truthful, accurate, and complete. This information may include personal identification details, contact information, and financial information, which are used to verify your eligibility to use the Platform’s Services.  
• Certain Services on the Platform may only be accessible after the User logs into their account. Therefore, Users must successfully complete the login process to gain full access to all the features and services provided by the Company.

• If, after completing the registration, the User is prompted to update or change any of their personal or account information, they are required to do so promptly. The Company is not responsible for any consequences resulting from outdated or inaccurate information. This includes, but is not limited to, issues related to transaction processing, communication errors, or account security.  
• By providing your personal details during registration, you affirm that all information provided is accurate and current to the best of your knowledge. The Company reserves the right to suspend or terminate any User account that provides false, outdated, or incomplete information, or if such information becomes incorrect over time.  
• All information collected during the registration process is governed by the Company’s Privacy Policy. This policy outlines how the Company handles, stores, and processes your personal data, ensuring its confidentiality and security. The Company may retain your information even after the termination of your registration, for purposes such as compliance, record-keeping, or legal obligations.  
• Users are solely responsible for maintaining the confidentiality of their login credentials and account details. If a User’s login information is compromised or they suspect unauthorized access to their account, they are required to immediately notify the Company. The Company is not liable for any losses or damages that occur due to unauthorized access or use of a User’s credentials.  
• By registering and using the Platform, you affirm that you are of legal age and possess the capacity to enter into binding contracts as required under applicable laws. Additionally, you confirm that you are not prohibited or restricted from participating in capital markets or financial transactions by any relevant regulatory body.  
• As a User, you are responsible for ensuring that the information you provide is up to date. The Company reserves the right to suspend or cancel your account if any of the information provided is deemed false or inaccurate. We strongly recommend that you log out from your account at the end of each session to ensure account security.
   

Sunrise Gilts & Securities Pvt. Ltd. is committed to providing you with a comprehensive set of services designed to facilitate the investment process and enhance your experience on our Platform. Our range of Services includes, but is not limited to, the following:

• Account and Registration Management: You will have access to view and edit your login details and registration information, ensuring that all the details associated with your account are up to date. This feature allows you to maintain the accuracy of your personal and professional data, ensuring a smooth

interaction with our Platform and Services.

• Access to Financial Information: We provide detailed information about various financial instruments available for investment on our Platform. This includes real-time data, financial performance indicators, and other relevant

metrics that help you make informed investment decisions. You will have access to detailed reports and analyses to assist in evaluating different investment opportunities.

• Transaction Management: Our Platform allows you to request, review, and track the status of your financial transactions. You will be able to access a comprehensive history of your past investments, along with their current status and performance. This feature empowers you to manage your portfolio effectively.  
• Flash Messages and Notifications: Sunrise Gilts & Securities Pvt. Ltd. will communicate important updates, changes, and notifications to you through flash messages and alerts. These notifications may include updates on market conditions, changes in services, or any urgent matters that require your attention while using the Platform.  
• Transaction Creation for Investments: You will be able to initiate and complete new investment transactions through the Platform. This service enables you to buy or invest in financial instruments, either directly through us or via our registered third-party vendors, providing you with a seamless and secure transaction process.  
• Communication with the Company and Third Parties: The Platform enables you to communicate directly with us, as well as with any third-party vendors registered with us. This allows for the sharing of inquiries, feedback, or specific requests related to financial instruments or transactions, facilitating transparent and efficient communication between you and the service providers.

• E-Signature for Transaction Completion: To streamline your investment process, you can save an electronic version of your signature (e-signature) for use in future transactions. This signature will be securely stored in our system, allowing for quick and easy completion of future investment-related actions that require your authorization.  
• Service Suspension and Modifications: While we strive to offer continuous and uninterrupted services, we reserve the right to withdraw or temporarily suspend any of the Services without prior notice. This may occur for reasons related to system updates, security improvements, or other technical or operational needs. Additionally, we may remove services related to a specific third-party financial institution, and such changes will be made at our discretion.  
• Platform Accessibility and Cross-Platform Services: You acknowledge that not all services may be available across all platforms. Certain services may only be accessible through our Website or Mobile Application, and this decision is at the sole discretion of the Company. Moreover, the availability of certain features may depend on the specific operating system you are using. We reserve the right to modify or update the services available on various platforms based on compatibility, security, or user experience considerations.  
• System Updates and Access: Sunrise Gilts & Securities Pvt. Ltd. may, at its discretion, periodically update the Platform to improve security, compatibility, and user experience. Access to specific services may be contingent upon the successful implementation of these updates. You may experience temporary disruptions or limitations during such updates, but we will endeavor to keep such interruptions to a minimum.  
• Mobile and Internet Service Charges: You acknowledge that your use of the

Platform may involve internet or mobile data usage, and any charges associated with data usage or access to the network are solely your responsibility. The terms and conditions set by your mobile network provider or internet service provider will continue to apply, and you agree to bear any charges related to the use of our Platform through your network service provider. Sunrise Gilts & Securities Pvt. Ltd. will not be held liable for any charges incurred during your use of the Platform.

By using the Platform, you make the following representations and warranties, which are essential for ensuring a smooth and secure investment experience:

• Platform Availability and Functionality: Sunrise Gilts & Securities Pvt. Ltd. strives to maintain the Platform’s availability and functionality at all times. However, we are not responsible for any delays, interruptions, or failures in the use of the Platform. Additionally, we cannot guarantee uninterrupted access to certain functionalities, and we do not assume liability for any downtime, errors, or issues that may arise during your use of the Platform.

This may involve submitting relevant documents and providing accurate personal information during the registration process. The Company has the right to reject any transactions that do not meet KYC requirements, and you are responsible for ensuring that all information provided is true, complete, and up to date.  
• Personal Use of the Platform: You acknowledge that your use of the Platform is solely for personal, non-commercial purposes. Any attempt to use the Platform for commercial purposes, including unauthorized distribution of content or services, is strictly prohibited. • Automated Data Collection Tools: The use of robots, spiders, scrapers, deep links, or any similar automated data gathering or extraction tools, programs, algorithms, or methodologies to access, acquire, copy, or monitor the Platform or any portion of it is prohibited.
• Intellectual Property Violations: You may not post or transmit any content that infringes, misappropriates, or violates any copyright, trademark, patent right, or other proprietary rights of third parties. You will be solely liable for any damages arising from such violations.

You agree to be held fully responsible for any violations of these terms and any harm resulting from the posting or transmission of prohibited content. The Company reserves the right to remove such content and take appropriate action, including suspension or termination of access to the Platform, if you fail to comply with these restrictions.

You agree to the following indemnity obligations:

a. Indemnification by User:

You agree to defend, indemnify, and hold harmless the Company, including its affiliates, officers, directors, agents, and employees, from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties, liabilities, costs, or expenses of any kind (including but not limited to reasonable legal and other professional fees), which may arise or be incurred due to:

• Your use of the Platform.
• Any breach or alleged breach by you of the Terms of Use, Privacy Policy, or any applicable law.
• Any violation of the rights of third parties due to your actions on the Platform.

             This indemnification obligation shall extend to all claims, actions, or demands, and is applicable even if the claim arises indirectly or due to negligence, misconduct, or failure to
             comply with the Platform's terms.

b. Release of Liability:
You agree that you will not sue or make any demand, and that you irrevocably release, waive, and forever discharge the Company, its officers, directors, employees, agents,
licensees, affiliates, successors, and assigns (collectively "Release") from any and all liabilities, claims, demands, losses, suits, costs, and expenses (including reasonable attorney fees) arising from:

• Your use of the Platform and services.
• Any claim, whether known or unknown, related to or arising from the services provided by the Company.

           This release is comprehensive and covers all liabilities, whether in law or equity, that may exist now or in the future, with respect to any of the services, actions, or omissions
            associated with the Company.

C. No Legal, Tax, or Financial Advice:
You acknowledge and agree that: 

• The Company and its services are not intended to provide legal, tax, financial, or securities-related advice.
• The Company is not a financial planner, financial intermediary, investment advisor, broker, or tax advisor. The Platform is designed to assist you in organizing and making general financial decisions but does not cater to specific, personalized financial advice.
• Any information or advice provided by the Company should be seen as general and not necessarily suitable for your unique financial circumstances.
  Before taking any financial action based on information available through the Platform, you should seek advice from a qualified professional who is fully aware of your specific situation and financial needs.

Additionally, the Company will not be held liable if a financial transaction or decision does not proceed as expected, or if any failure occurs in fulfilling obligations under these terms due to a Force Majeure event. Force Majeure events include, but are not limited to, acts of God, wars, technical or equipment failures, natural disasters, labor disputes, civil disturbances, shortages, or any other event outside of the Company’s reasonable control that delays or hinders its ability to perform.

d. No Warranty on Services:

You understand and agree that:

• The Company and its service providers make no warranty that the services will meet your specific requirements or expectations.
• The services may not be uninterrupted, secure, or error-free.
• The results from using the services may not always be accurate, reliable, or consistent.
• The Company does not guarantee the quality of any products or services purchased through the Platform, nor the accuracy of any information available on the Platform.

You acknowledge that any material you download or obtain via the Platform is done at your own risk, and you are solely responsible for any damage to your computer system or loss of data resulting from the download of such materials.

No advice or information, whether verbal or written, provided by the Company or its service providers, shall be construed as a warranty, except as expressly stated in these terms and conditions.

a.No Liability for Certain Damages:
In no event shall the Company, its affiliates, officers, directors, employees, agents,licensors, licensees, consultants, or contractors be liable to you or any third party for any of the following:

• Special, Incidental, Indirect, or Consequential Damages: This includes damages for loss of data, loss of profits, loss of goodwill, or any other intangible loss, whether or not foreseeable.
• Use or Inability to Use the Platform: This applies if you are unable to access or use the Platform for any reason.
• Platform Performance Failures: Including errors, defects, omissions, delays, or any other failure in the operation or transmission of services.
• Unauthorized Access or Data Alteration: Losses arising from unauthorized access to your data or transmission alterations.
• Third-Party Actions: Claims, actions, or misconduct by third parties on the Platform.
• Inaccuracies or Errors in Information: Including issues with the accuracy or completeness of any content or documents shared via the Platform.
• Any Other Platform-Related Matters: Any issue related to the Platform, whether directly mentioned or incidental.
   

Exclusive Remedy:

If you are dissatisfied with the Platform or its contents, or if you do not agree with the terms and conditions, your sole remedy is to discontinue using the Platform.

Limitation of Liability:

If the Company is found liable for any damages, the total liability shall be limited to the total service or referral fees earned by the Company in connection with the specific transaction or service in question, as applicable.

1. Changes to the Platform and Terms:
   The Company reserves the right to modify or change the Platform, its related policies, terms of use, disclaimer, and Privacy Policy at any time without prior notice to the User. Any changes will be effective immediately upon posting.
2. Acceptance of Changes:
   Your continued use of the Platform and services after any changes constitutes your acceptance of those changes. If you do not agree with the changes, you may discontinue using the services.
3. Monitoring and Review Rights:
   While the Company is not obligated to monitor communications on the Platform, it reserves the right to review, approve, or remove content at its discretion.

The Company and its affiliates shall not be liable for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to:

• Natural disasters (e.g., floods, earthquakes, etc.)
• Acts of war, terrorism, civil disturbances
• Technical failures, strikes, power failures, labor shortages, etc.
• Governmental actions, or any other Force Majeure event.

2. Platform Incompatibility and Delays:

Neither the Company nor its affiliates are responsible for:

• Any incompatibility between the Platform and third-party services, software, or hardware.
• Delays in transmitting data or failures in transaction accuracy or timeliness.

1. Governing Law:
   This Agreement and all transactions via the Platform shall be governed by the laws of India.
2. Dispute Resolution:
   Any dispute, controversy, or claim arising out of or related to this Agreement, including breach or termination thereof, shall be resolved through arbitration. A sole arbitrator, mutually appointed by the Company and you, will conduct the arbitration as per the Arbitration and Conciliation Act, 1996, or its amendments. The place of arbitration will be Ahmedabad, India.

1. Third-Party Links:
   The Platform contains links to third-party websites. These links are not an endorsement or representation of affiliation with the third parties. The Company does not control these sites and is not responsible for their privacy practices or content.
2. Cookie Management:
   You can manage cookie preferences through your browser settings. Most browsers allow you to refuse or delete cookies, but the specific process may vary based on the browser and its version.

In addition to the general terms, the following apply specifically to the use of the e-KYC facility:

• You consent to authenticate your identity and address through Digilocker using PAN, Aadhaar, and other details you provide.
• The Company may authenticate your PAN and Aadhaar using Digilocker and share data as required by applicable regulations such as SEBI, UIDAI, PMLA, etc.
• The Company may use eSign services for OTP-based Aadhaar authentication.
• You agree to provide accurate and truthful information for KYC purposes, and you are liable for any discrepancies or false information provided.

The terms governing the e-KYC facility are subject to Indian laws, and any disputes will fall under the jurisdiction of the courts in Ahmedabad, Gujarat.
